The OFHC Board of Directors consists of 15 voting members. Pursuant to the OFHC Bylaws found in the California IOOF Code of Laws, Chapter XXIV (Homes, Camps, Housing), the Board of Directors shall consist of the following directors:

4 Odd Fellows who are elected by the Grand Lodge and who must be members of a lodge in good standing,

3 Rebekahs who are elected by the Rebekah Assembly and who must be members of a lodge in good standing,

4 at-large members who are elected by the Grand Lodge and who are not required to be members of the Order,

2 resident directors nominated by their communities and approved and appointed by the OFHC Board of Directors,

the Grand Secretary of the Grand Lodge of California, and

the Grand Treasurer of the Grand Lodge of California.

California law requires at least one voting member to be a voting representative from one of our two communities, but the bylaws enacted by the Grand Lodge exceed the minimum requirement and allow both of the communities – both Saratoga Retirement Community and the Meadows of Napa Valley – to nominate their own resident for election by the Grand Lodge. Although they are not required to be members of the Order, some of them choose to join the lodges located at the communities.

According to the OFHC Bylaws (Chapter XXIV, Article V, Section 5.3(4), each Odd Fellow and Rebekah directors must have “managerial experience in business or experience in the Health Care Field….” Each at-large director must “have experience from the professional sector, i.e., legal, accounting, medical, or financial.”

Lastly, California law also requires each community to send a nonvoting resident representative to board meetings. This means a full Board meeting consists of 17 directors – 15 who have voting rights and 2 who do not. Of the 15 voting directors, a minimum of 8 (a majority) must be members of the Order, but more typically, 9 are members of the Order.
